третье лицо, обычно специальная трастовая корпорация или подразделение банка, уполномоченные представлять интересы инвесторов. В случае секьюритизации трасти имеет право принимать определенные ключевые решения в ходе реализации сделки по секьюритизации. Трасти также может принадлежать право управления денежными потоками и право залога на выступающие в качестве обеспечения активы. Обычно в случае листинга ценных бумаг, обеспеченных активами, существует требование о назначении независимого трасти. Трасти получает регулярные отчеты о состоянии обеспечивающих активов, что позволяет ему в том числе контролировать надлежащее распределение денежных потоков. С учетом установленных гарантий возмещения убытков трасти отвечает за замену сервисера в случае необходимости, совершение в интересах инвесторов юридических действий и реализацию активов с целью погашения задолженности перед инвесторами. Для того, чтобы трасти мог адекватно исполнять свои функции, он получает вознаграждение, выплаты которого приоритетны по отношению к другим выплатам, и приоритетное право на покрытие непредвиденных издержек.
