часть соглашения, в которой одна или несколько сторон подтверждают определенные фактические обстоятельства; если подтверждение оказывается не соответствующим действительности, такая сторона (стороны) обязуются предпринять действия для того, чтобы исправить ситуацию, или выплатить другой стороне компенсацию. В контексте секьюритизации «заверения и заявления» касаются состояния и качества активов в момент их передачи оригинатором Спецюрлицу или промежуточному продавцу, а также средств правовой защиты, которыми может воспользоваться Спецюрлицо или промежуточный продавец в случае, если заявления в отношении активов окажутся не соответствующими действительности.
